Can a limited liability company be converted into the joint-stock company and vice versa?

A limited liability company may be converted into a joint-stock company and vice versa.

(i) Limited Liability Companies may be converted into Joint Stock Companies by the following methods:

    • Converting into a Joint Stock Company without mobilizing other organizations and individuals to contribute additional capital nor selling the capital contributions to other organizations and individuals;
    • Raising capital from other organizations and individuals;
    • Selling a whole or part of contributed capital amounts to one or several other organization(s) and individual(s); or
    • Combining the methods specified in Points a, b and c of Article 202.2 of the 2020 Law on Enterprises and other methods.

(ii) Joint Stock Companies may be converted into Single-Member Limited Liability Companies by the following methods:

    • A shareholder acquires all of the shares of the other shareholders;
    • An organization or individual that is not a shareholder acquires all the shares of all shareholders of the company;
    • The company has only one shareholder remaining.

(iii) Joint Stock Companies may be converted into Multiple member Limited Liability Companies by the following methods:

    • Converting into a Multiple member Limited Liability Company without raising capital from other organizations and individuals nor transferring shares to other organizations and individuals;
    • Raising capital from other organizations and individuals;
    • Transferring a whole or part of shares to other capital-contributing organizations and individuals;
    • The company has only two shareholders remaining;
    • Combining the methods specified at Points a, b and c of Article 204.1 of the 2020 Law on Enterprises and other methods.
