What are the duties of an enterprise’s legal representative?

The duties of a legal representative of an enterprise are:

    • To exercise the assigned rights and perform the delegated duties in an honest, prudent and best manner in order to ensure the lawful interests of the enterprise;
    • To stay loyal to the interests of the enterprise; neither abuse their title or position nor use business information, secrets or opportunities or other assets of the enterprise for personal gain or in the interests of other organizations or individuals;
    • To disclose to the enterprise in a timely, full and accurate manner, of other enterprises which they or a related party owns or in which they or a related party has shares or contributed capital amounts in accordance with the 2020 Law on Enterprises.
