Which contracts and transactions must be approved by the Members’ Council of a limited liability company?

Contracts, transactions between the company and the following individuals/organizations must be approved by the Members’ Council:

    • The company owner and his/her related parties;
    • A member of the Members’ Council, the Company President, the Director or General director and supervisor;
    • A related party of a person specified at Article 86.1.b of the 2020 Law on Enterprises;
    • A manager of the company owner, or person with competence to appoint such manager;
    • Contracts for borrowing, lending or sale of assets and other contracts as specified in the company charter with their value equal to 50% or more of the total value of assets recorded in the last published financial statement of the company, or a smaller percentage or value as stated in the company charter.
