Who is not permitted to establish an enterprise in Vietnam?

The following categories of persons and organizations are not permitted to establish enterprises in Vietnam:

    • State authorities and units of the People’s armed forces that use state-owned assets to establish enterprises serving their own interests;
    • Cadres, civil servants and public employees defined by the Law on Cadres and Civil Servants and the Law on Public Employees;
    • Commissioned officers, non-commissioned officers, career military personnel, defense workers and public employees working in the agencies and units of the Vietnam People’s Army; commissioned officers, non-commissioned officers and public security workers in the agencies and units of the Vietnam People’s Public Security, except for those designated and authorized as representatives to manage the state’s capital contributions in enterprises or to manage state-owned enterprises;
    • Executive officers and managers of state-owned enterprises prescribed in Article 88.1.(a) of the 2020 Law on Enterprises, except for those who are designated as authorized representatives to manage the state’s capital contributions in other enterprises;
    • Minors; persons with limited legal capacity; incapacitated persons; persons that have difficulties in controlling their behaviors; organizations that are not juridical persons;
    • People who are facing criminal prosecution, held in temporary detention, serving a sentence of imprisonment, serving an administrative penalty in a correctional institution or rehabilitation center, has limited legal capacity or is incapacitated, or is not able to control his/her own behaviors, are banned by the court from holding certain professions or doing certain work; and other cases prescribed by the Law on Bankruptcy and the Anti-corruption Law; and
    • Commercial juridical persons that are banned from business operations or banned from certain fields as prescribed by the Criminal Code.
